Terms of Service

Effective Date: October 2023

1. Master Service Agreement

By accessing or using Grant Leads Portal, your organization ("Client") agrees to be bound by this Master Service Agreement. This constitutes a legally binding contract governing the provisioning, access, and usage of our enterprise Software-as-a-Service architecture.

2. License & Acceptable Use

Client is granted a non-exclusive, non-transferable, revocable license to access the platform solely for internal business intelligence and sales enablement purposes.

Strictly Prohibited Activities:

• Automated scraping, crawling, or extraction of grant data without an explicit Enterprise API contract.
• Reselling, sublicensing, or presenting the raw grant data feeds to public audiences or competing entities.
• Reverse engineering the AI tag matching logic, eligibility algorithms, or platform architecture.
• Attempting to bypass multi-tenant Row Level Security (RLS) policies.

3. Service Level & Availability

We strive for architectural resilience, utilizing edge-deployed compute and globally distributed database clusters. However, access is provided on an "as-is" basis. We do not warrant that the Service will be uninterrupted, timely, secure, or error-free. Scheduled maintenance will be communicated to Client Administrators in advance.

4. Billing & Subscription Constraints

Subscriptions are billed cyclically via our payment processor, Stripe. Failure to remit payment will result in automated suspension of the workspace. Reactivation may require intervention by billing administrators. Prorated refunds are not issued for mid-cycle cancellations.

5. Intellectual Property Rights

The platform architecture, underlying algorithms, UX flows, and proprietary data schemas remain the exclusive intellectual property of Grant Leads Portal. Use of the service does not transfer ownership of any intellectual property rights to the Client, aside from the specific grant exports explicitly provisioned for download.

6. Limitation of Liability

In no event shall Grant Leads Portal, its directors, employees, or partners, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Service.
